ARTICLE 1

 

1        NAME

 

1.1     OFFICIAL NAME-The official name of this organization will be Youth Championship Series, INCORPORATED to be referred hereinafter as SERIES

 

1.2     INCORPORATION-The Youth Championship Series, INC. was incorporated by the State of Oklahoma on July 14, 2006 (Appendix A).

 

1.3     PRINCIPAL OFFICE-The principal office of the SERIES will be located at the current address of the SERIES President. The SERIES may have such other offices, within the State, to be determined by a vote of the Executive Board.

 

ARTICLE 2

 

2        OBJECT

 

2.1     This organization will exist to promote the sport of wrestling in the State of Oklahoma and to provide an opportunity for wrestlers of all ages to participate in wrestling on a competitive basis. This will happen through the process of competing during the wrestling season and accumulating points that will qualify the wrestler for awards at the end of the season. Additional awards shall be added as decided by the Executive Board and available funds.

 

2.2     It is also mandated that the SERIES will promote good sportsmanship and, to the extent possible, alleviate delinquency and other problems faced by the youth of today.

 

2.3     The purpose of the SERIES is to provide incentives for training during the entire wrestling season. The season long training is required for a wrestler to progress in skill, which in turn allows the wrestler to compete at a higher level of expertise, which builds self-esteem and personal satisfaction.

 

2.4             To improve the standards in and the appreciation of the sport of wrestling.

 

 

ARTICLE 3

 

3        MEMBERS, AWARDS FUND, FEES

 

3.1     SERIES MEMBERSHIP-The Series is open to any wrestler regardless of state residence who attends and places at a SERIES tournament.

 

3.2     FEES-The Award Fund is a fund that is used solely for the purpose of purchasing awards to be distributed to the wrestlers at the end of the season. The Award Fund receives $1 per entry from each of the participating SERIES tournaments and is sent to the SERIES President or Treasurer within two (2) weeks following the SERIES tournament

 

3.3     UNPAID FEES-. Failure to submit the Award Fund deposit to the Series shall be grounds for expulsion of that tournament from future Series tournaments...

 

3.4     POLITICAL ACTIVITIES- The SERIES shall not attempt to influence legislation or participate in any political activities by uses of its funds or actions.

 

ARTICLE 4

 

4        GOVERNMENT

 

4.1     OFFICERS

 

4.1.1  SERIES OFFICERS-The SERIES shall be governed by the President, Secretary/Treasurer, and an Executive Board. Legal counsel may be appointed and serve on the board when available, but not required otherwise. The Executive Board shall consist of a minimum of four (4) and at most eight (8) people located across Oklahoma or in neighboring states, in an attempt to represent equally the region in general, but shall not be limited to one person in a geographical region if multiple people that desire to serve and a opening exists.

 

4.2     QUALIFICATIONS

 

A. Officers shall be selected without regard to race, color, religion, age, sex, or national origin.
B. No Officer shall hold more than one office at any time with the exception of the Treasurer.
C. Exemptions may be granted to the qualifications for officers by a majority vote of the Executive Board.

 

4.3     ELECTION OF OFFICERS-The President shall be elected by a simple majority vote of Executive Board. The President shall select the Secretary/Treasurer with input from the Executive Board.

Openings on the Executive Board shall be filled from a list of people who have expressed in writing to the SERIES President their desire to serve on the Executive Board. A simple majority vote from the voting officers of the SERIES will decide who is selected as the new Executive Board member.

 

4.4     TENURE OF OFFICE

 

4.4.1  PRESIDENT, SECRETARY/TREASURER, AND EXECUTIVE BOARD-These officers shall serve for three consecutive fiscal years. Their tenure begins on April 1 in the fiscal year for which they are elected.

 

4.5     DUTIES OF OFFICERS-The Officers shall perform the duties prescribed by these bylaws and the parliamentary procedures adopted by the SERIES.

 

4.5.1  DUTIES OF THE PRESIDENT

A. Preside at meetings of the Executive Board and to call special or emergency meetings.

B. Have general and active management of all business and accounts of the SERIES. He shall see that all orders and resolutions of the Executive Board are carried out.

C. To appoint all committees’ members not otherwise designated by a vote of the Executive Board or SERIES Bylaws, and to serve as a member of all committees

 

4.5.2  DUTIES OF THE SECRETARY/TREASURER

A.    To be present at all meetings of the Executive Board and to correct and complete minutes thereof.

B.     To maintain the Award Fund in a federally insured bank(s), to be used only for SERIES expenses and the promotion of wrestling.

C.     To attend to all correspondence of the Executive Board and to have charge of records of the Executive Board and the SERIES.

D.    The Treasurer shall have the responsibility of generating data and gathering information to formulate and file a Federal Income Tax Return on an annual basis as required.

E.  To do all other duties assigned by the President and Executive Board.

4.5.3  DUTIES OF THE EXECUTIVE BOARD

A To be present at all meetings and submit/vote on any rules changes or additions needed for the advancement of youth wrestling.

B. To do all other duties assigned by the President.

 

4.6     REPLACEMENT OF AN OFFICER-The Executive Board shall have the power to replace any officer who has resigned or has been removed from office. The term of office of the newly appointed officer shall correspond to the term of the officer being replaced. Vacancies of officers shall be filled as soon as feasible.

 

 

ARTICLE 5

 

5        MEETINGS

 

5.1     EXECUTIVE BOARD MEETINGS-The executive Board shall hold a business meeting on the 1st Sunday in April or telephonically as needed.

 

5.2     EMERGENCY MEETINGS-Emergency meetings may be called by the Executive Board or the President.

 

5.3     CLOSED MEETINGS-All Executive Board meetings shall be closed; exceptions include special committee members when needed, and members or guests on request and approval of the President. The request must be submitted to the President at least two weeks before the scheduled board meeting. If the request is approved, the member will be given five minutes to speak. Additional time may be granted by the President. After they have addressed the board, they will leave the meeting unless their presence is further required.

 

5.4     ORDER OF BUSINESS-The order of business at all meetings of the Executive Board shall be as follows:

A. Roll Call
B. Reading of the minutes of preceding meeting
C. Reports of Officers
D. Reports of Committees
F. Unfinished business
G. New business

 

5.5     RESIGNING FROM OFFICE-Any Officer desiring to resign from a position shall present their resignation in writing to the President who shall present it to the Executive Board posthaste.

 

5.6     VOTING-All issues, alterations to, and/or amendment of the Bylaws, except removal from office, shall be by simple majority vote of the Executive Board members present.

 

5.7     VOTING BY MAIL OR TELECOMMUNICATION-The Executive Board may, in lieu of taking action at a meeting, act by written or telecommunication means. The President shall notify the Executive Board of the outcome of any such vote as soon as possible.

 

5.8     QUORUM-No SERIES business can be transacted with less than a quorum. A quorum is three (3) Executive Board members. If less than a quorum is present at a meeting, the President may adjourn the meeting. The President may make an emergency temporary appointment to the board for the purpose of creating said quorum if the majority of the Executive Board present agrees.

 

5.9     FISCAL YEAR-The fiscal year of the SERIES shall be April 1 thru March 31 the following year.

 

 

ARTICLE 6

 

6        EXECUTIVE BOARD

 

6.1     GENERAL PROVISIONS-The Executive Board shall serve in their capacity without compensation except out-of-pocket expenses as set forth in the Bylaws. Nothing herein contained shall be construed to preclude any member from serving the SERIES in a special capacity and receiving compensation.

 

6.2     REMOVAL FROM SERIES-The Executive Board may impeach and remove anyone from office or the SERIES with just cause. This removal shall require a two-thirds vote of the Executive Board. Any board member that has been removed from the board may not serve again as a board member, without a unanimous vote from the voting members of the board.

 

6.3     JOURNAL-The Executive Board shall keep journal/minutes of its meetings, which shall be the official records of legislation for the SERIES

 

6.4     LOANS-No loans shall be contracted on behalf of the SERIES and no evidence of indebtedness shall be issued in its name unless authorized by the Executive Board with a unanimous vote. Such authority may be general or confined to specific instances.

 

6.5     SERIES PROPERTY-The Executive Board shall act as trustees for all SERIES property.


ARTICLE  7

 

7        PARLIAMENTARY AUTHORITY

 

7.1     ROBERT’S RULES OF ORDER-The rules contained in ROBERT’S RULES OF ORDER REVISED shall govern the SERIES and the Executive Board.

 

 

 

ARTICLE 8

 

8        AMENDMENTS TO BYLAWS

 

8.1     AMENDS AND ADDITIONS TO BYLAWS-These bylaws may be amended at any regular or special meeting by a majority vote of the Executive Board. However, this vote may not take place until notice has been given to all members of the Executive Board. This notice shall be either a written notice or by telecommunication with not less than fourteen (14) days before the intended vote. The requirement of notice may be waived by a majority vote of the Executive Board.

 

 

ARTICLE 9

 

9        DEFINITIONS

 

9.1     POINTS- The normal placement of a tournament shall be 4 places and the SERIES points for that tournament placement shall be:

1 (first) - 10 points.

2 (second) – 8 points.

3 (third) – 6 points.

4 (fourth) – 4 points.

 

If a tournament awards six (6) places then 5 (fifth) will receive 3 points

 

Sixth (6) will receive 2 points.

The first and next-to-last SERIES tournament each season will be worth two (2) extra points per placement. (I.E. 12, 10, 8, 6).

The final SERIES tournament each season shall be worth five (5) extra points per placement (I.E. 15, 13, 11, 9)

During periods of holidays, additional points can be added to tournaments at the discretion of the Executive Board for the purpose of motivating wrestler participation.

 

Points earned at particular weight the first three (3) SERIES tournaments or tournaments with over 700 entry's (USJOC mainy) shall go with a wrestler's name if they change weights during the SERIES season. The purpose of this is to allow a wrestler to get into shape and change weight classes at the first of a SERIES season or drop a weight for the BIG tournaments. This is for a wrestler’s true age division, not a second double entry division.

 

9.2     WRESTLER OF THE WEEK – The Wrestler of the Week award is the decision of the SERIES tournament each week. This award shall be worth an additional five (5) SERIES points in addition to any other points earned at that SERIES tournament.

 

Guidelines for selecting the Wrestler of the Week – The Wrestler of the Week shall be a wrestler that exhibits extreme sportsmanship on and off the mat. The award is not contingent upon the wrestler winning their weight, but should be for a desire to improve their skills and the hard work exemplifying this. The Wrestler of the Week award should be for a combination of good technical skills, superior sportsmanship and character, and an intense desire to be the best they can be.

Since there is ONE (1) Wrestler of the Week Award and multiple deserving wrestlers, additional “Special Recognition Awards” may be awarded by nomination and a vote by the President and Executive Board. This award shall carry the same five (5) SERIES points award. A simple majority vote by the Executive Board and President shall be required to pass. Nomination shall require one (1) second from the voting Officers before a Special Recognition Award can be voted on.

 

9.3     TOURNAMENT RESULTS- The SERIES points are posted directly from the tournament results. The SERIES tournament is required to post their results as soon as possible after the conclusion of the SERIES tournament. Normally, this happens by Monday following the tournament conclusion, but to allow time for the SERIES points to be taken from those results, the tournament results absolutely need to be posted on Okwrestle.com by Tuesday following the conclusion of the tournament, or arrangements HAVE to be made with the SERIES President.

 

9.4     TOURNAMENTS JOING THE SERIES- If a tournament wishes to join the SERIES; first, the tournament must contact the SERIES President. The SERIES President shall determine if the tournament date is available. If not, alternate available dates shall be discussed. If an available date is decided upon, the tournament and date will have to be voted upon by the Executive Board and a simple majority will be required before that tournament is included on the SERIES schedule. In the event a club that has a SERIES tournament changes location, name, or facilities in general, that SERIES tournament will require a vote by the voting board before it is granted a SERIES tournament.

 

9.5     RECEIVING SERIES POINTS- If a wrestler is entered in a SERIES tournament, the wrestler is required to attend and make weight before they are eligible to receive any SERIES points. If a wrestler makes their weight at weigh-in but fails to show up for a match, they would automatically be placed last at their weight. In the event there were less than four (4) wrestlers at that weight, they would receive points for the last place.

 

9.6     DISQUALIFICATION- If a wrestler is disqualified from a match, that match is treated as a loss and if that was the first loss for that wrestler, the wrestler may continue wrestling at that weight.

If the wrestler is disqualified FROM THE TOURNAMENT, then the wrestler cannot continue wrestling and WILL NOT RECEIVE ANY SERIES POINTS, irregardless of what match it was at disqualification. This is decided upon by the referee and/or tournament director.

 

9.7     SUSPENSION- If a wrestler is suspended by any recognized sanctioning organization (OKWA, YMCA, AAU, USA, or any state organization) for any reason, then that wrestler is not eligible to receive SERIES points or participate in SERIES tournaments or events.

An individual can request in writing to be allowed SERIES participation and can be allowed by a majority vote of the Executive board.

 

9.8     AWARDS- To be eligible to receive a SERIES award at the conclusion of the season, a wrestler must attend 3 SERIES tournaments. This can be amended on a case-by-case basis, but this supports the idea that the SERIES is a SEASON long event and rewards a SEASON of work.

 

 

ARTICLE 10

 

10      MISCELLANEOUS

 

10.1   INDEMNIFICATION-SERIES shall indemnify to the full extent authorized or permitted by law, including the payment of reasonable attorneys’ fees, any person(s) made, or threatened to be made, party to any action(s), suit(s), or proceeding(s)(whether civil, criminal, administrative, or investigative) by reason of the fact that he or she or his or her testator or in testate, is or was a director, officer, agent or employee of the SERIES, if such person(s) said action(s) were made in the capacity of their office and in good faith with due diligence.

 

10.2   EXEMPTION-The SERIES shall follow activities permitted by a corporation exempt from federal income tax.

 

10.3   CHILD ABUSE-Child abuse shall not be tolerated at any SERIES tournament. If necessary, corrective action shall be taken by notifying the local civil authorities.

 

10.4   MEMBERS-AT-LARGE TO THE EXECUTIVE BOARD-The Executive Board and/or President have the power to appoint a Member-at-Large for any special purpose or expertise.

 

10.5   PENALTY FOR BAD DEBTS-Any debts owed to the SERIES must be paid in full including any penalties or fees incurred before they will be allowed to participate in any SERIES event.

 

10.6   INSURANCE-SERIES requires that each wrestler and coach carry their own insurance, or be under their club insurance at their own expense. SERIES does not take any responsibility for injury.

 

10.7   SERIES SANCTIONED TOURNAMENTS-All SERIES sanctioned tournaments are required to (use):

1. Weights and ages as prescribed by the SERIES and will be the weights and ages in use by a majority of tournaments in Oklahoma at the time.
2. OSSAA certified referees.
3. Follow the same guidelines as OKWA Regional and State regarding ringworm and the covering of any skin lesions.
4. Any SERIES member club hosting a tournament must abide by the SERIES rules and bylaws.
